Filaw User Agreement

1. Description of Services

Filaw provides the following core services (collectively, the "Services"):

• AI-powered meme generation: Users may create moving memes by submitting text descriptions, selecting preset scenes (e.g., "coffee break chaos," "game night excitement"), or choosing mood tags (e.g., "silly," "cozy," "overjoyed").
• Meme customization: Generated memes include pre-integrated fun elements such as exaggerated blushing effects, dynamic bouncing/spinning stickers, and colorful text bubbles with cute fonts. Users may further customize memes (if desired) before sharing.
• Social sharing: Users may share generated memes directly to third-party social media platforms or messaging applications supported by the App.
• Customer support: Users may contact Our support team via the designated Customer Service Email for assistance with App usage or issues.

2. User Eligibility

To use the Services, You must:

• Be at least 13 years of age (or the minimum age required by applicable law in Your jurisdiction to use social media or entertainment applications, whichever is higher);
• Have the legal capacity to enter into this Agreement (e.g., not be under a legal disability that prevents You from forming a binding contract);
• Provide accurate, truthful, and complete information when using the App (if applicable, such as for account registration, if future account features are added);
• Comply with all applicable laws, regulations, and this Agreement in Your use of the Services.

If You are using the App on behalf of a minor (between 13 and the age of majority in Your jurisdiction), You represent and warrant that You are the minor’s parent or legal guardian and accept this Agreement on the minor’s behalf, assuming full responsibility for their compliance with the Agreement.

3. User Rights and Obligations

3.1 User Rights

• Right to access and use the Services in accordance with this Agreement, provided that You meet the eligibility requirements;
• Right to customize and share memes generated through the App, subject to Section 5 (Intellectual Property Rights);
• Right to contact Our customer support team via the filawtool4567@outlook.com for assistance with App-related issues;
• Right to terminate Your use of the Services at any time by uninstalling the App, provided that You remain liable for any obligations incurred prior to termination.

3.2 User Obligations

• You shall not use the App or Services to generate, share, or transmit any content that:
  • Violates applicable laws, regulations, or third-party rights (including copyright, trademark, privacy, or publicity rights);
  • Is defamatory, obscene, violent, discriminatory, harassing, or otherwise harmful or offensive;
  • Contains malware, viruses, or other malicious code that could damage or interfere with the App, Services, or third-party devices;
  • Impersonates any person or entity, or misrepresents Your affiliation with a person or entity;
  • Attempts to gain unauthorized access to the App’s backend systems, user data, or other restricted areas;
  • Engages in automated use of the Services (e.g., bots, scrapers) without Our prior written consent.
  • You shall maintain the security of any devices used to access the App (e.g., setting strong passwords, updating software) and notify Us immediately if You suspect unauthorized use of the Services;
  • You shall not modify, reverse engineer, decompile, or create derivative works of the App or any part of the Services without Our prior written consent;
  • You shall comply with all third-party terms of service when sharing memes to external platforms (e.g., Facebook, WhatsApp).

4. Intellectual Property Rights

• Filaw retains all intellectual property rights in the App, Services, and pre-integrated content (including but not limited to AI algorithms, preset scenes, mood tags, sticker designs, font styles, and brand trademarks). You shall not claim any ownership rights in these materials.
• With respect to memes You generate using the App ("User-Generated Memes"):
  • You retain ownership of the original creative elements You contribute (e.g., text descriptions, custom edits). However, You grant Filaw a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute User-Generated Memes solely for the purpose of providing and improving the Services (e.g., storing memes temporarily for sharing, troubleshooting App issues).
  • You represent and warrant that You have the right to create and share User-Generated Memes, and that such memes do not infringe any third-party intellectual property or other rights. You shall indemnify Filaw against any claims arising from Your breach of this warranty.
• You may not use Filaw’s trademarks, logos, or other brand assets without Our prior written permission.

5. Data Privacy

Filaw collects and processes User data in accordance with Our Privacy Policy (which is incorporated into this Agreement by reference). By using the Services, You consent to Our collection, use, and disclosure of Your data as described in the Privacy Policy. Key data practices include:

• Collection of non-personal data: We may collect data related to App usage (e.g., number of memes generated, preferred scenes/tags) to improve the Services and AI performance;
• Collection of personal data (if applicable): If You contact customer support via filawtool4567@outlook.com, We may collect Your email address and communication content to respond to Your inquiry;
• Data security: We implement reasonable technical and organizational measures to protect User data from unauthorized access or disclosure. However, no data transmission or storage system is 100% secure, and We cannot guarantee absolute security.

6. Disclaimer of Warranties

THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FILAW EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Warranties that the App will be error-free, uninterrupted, or compatible with all devices or operating systems;
• Warranties that User-Generated Memes will meet Your expectations or be suitable for a specific use;
• Warranties regarding the accuracy, reliability, or completeness of any content available through the Services.

Filaw does not warrant that the Services will be free from viruses or other malicious code. You assume full responsibility for protecting Your device and data from such risks.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FILAW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP OR SERVICES, INCLUDING BUT NOT LIMITED TO:

• Damages related to loss of data, profits, or business opportunities;
• Damages arising from third-party claims (e.g., copyright infringement claims related to User-Generated Memes);
• Damages caused by unauthorized access to Your data or device;
• Damages caused by interruptions or delays in the Services.

IN NO EVENT SHALL FILAW’S TOTAL LIABILITY TO YOU EXCEED $100 USD. THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

8. Legal Compliance and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with this Agreement (including but not limited to disputes regarding the App, Services, or intellectual property rights) shall first be resolved through good-faith negotiation between You and Filaw. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the federal or state courts located in the United States, and You consent to the personal jurisdiction of such courts.

You agree to comply with all applicable U.S. laws and regulations in Your use of the Services, including but not limited to laws governing data privacy, intellectual property, and online conduct.

9. Modifications to This Agreement

Filaw may modify this Agreement from time to time to reflect changes in the Services, legal requirements, or business practices. We will notify You of any material modifications by:

• Displaying a prominent notice within the App;
• Sending a notification to Your registered email address (if You have provided one); or
• Posting the updated Agreement on Our website (if available) or within the App’s "Legal" section.

Material modifications shall take effect 14 days after the date of notification. Your continued use of the App or Services after the effective date of the modified Agreement constitutes Your acceptance of the updated terms. If You do not agree to the modified Agreement, You must cease using the Services and uninstall the App.

10. Termination

• Filaw may terminate or suspend Your access to the App or Services immediately, without prior notice, if You breach any term of this Agreement (e.g., generating offensive content, engaging in unauthorized access).
• You may terminate this Agreement at any time by uninstalling the App and ceasing all use of the Services.
• Upon termination:
  • Your right to use the Services shall immediately cease;
  • Filaw may retain certain User data as required by law or for legitimate business purposes (e.g., resolving disputes, enforcing the Agreement);
  • Sections 4 (Intellectual Property Rights), 6 (Disclaimer of Warranties), 7 (Limitation of Liability), 8 (Legal Compliance and Jurisdiction), and 11 (General Provisions) shall survive termination.

12. General Provisions

• This Agreement constitutes the entire understanding between You and Filaw with respect to the App and Services, superseding all prior or contemporaneous agreements, whether written or oral.
• If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
• You may not assign this Agreement or Your rights/obligations hereunder without Filaw’s prior written consent. Filaw may assign this Agreement without Your consent.
• No delay or failure by Filaw to enforce any provision of this Agreement shall constitute a waiver of such provision.
